Terms of Service

1. Acceptance

By accessing tradehox.com or engaging TradeHox services, you agree to these Terms of Service. If you do not agree, do not use our services.

2. Services

TradeHox provides:

• Discovery Audits ($5,000, 2 weeks)
• Sprint Engagements ($24,000, 90 days)
• Retainer Engagements ($7,500/month, 6-month minimum)
• Custom enterprise engagements (separately scoped)

3. Engagement Terms

Each engagement is governed by:

• A signed Statement of Work (SOW)
• These Terms (as background framework)
• Master Service Agreement (MSA) for ongoing clients

In case of conflict, the SOW and MSA take precedence over these Terms.

4. Payment

• Audit: 100% upfront on signing
• Sprint: 40% on signing, 30% at week-6 milestone, 30% on completion
• Retainer: Monthly in advance

All amounts are in USD unless otherwise specified in the SOW. Late payments accrue 1.5% monthly interest.

5. Intellectual Property

• Custom code created during Sprint: Client owns
• TradeHox frameworks and methodologies: TradeHox retains
• Pre-existing software components: Original owners retain
• Client data: Client owns entirely

6. Confidentiality

Both parties agree to keep confidential information confidential during and after the engagement. This obligation survives termination for a period of three years.

7. Warranties and Disclaimers

• We provide services with reasonable skill and care
• Outputs are estimates and depend on data quality, team adoption, and external factors
• AI outputs are probabilistic — we recommend human verification for critical decisions
• We do not guarantee specific business outcomes

8. Limitation of Liability

Total liability is capped at the total fees paid in the 12 months preceding the claim, except in cases of gross negligence, willful misconduct, or breach of confidentiality.

Neither party is liable for indirect, consequential, or punitive damages.

9. Termination

• Audit: Non-refundable after 5 business days
• Sprint: Termination for cause; pro-rated refund for unbuilt phases
• Retainer: 30-day notice from either party after the initial 6-month term

10. Governing Law

These Terms are governed by applicable law. Disputes will be resolved through arbitration. Please refer to your signed SOW or MSA for jurisdiction-specific details.

11. Updates

We may update these Terms. Material changes will be communicated to active clients. Continued use of our services after updates constitutes acceptance of the revised Terms.
